Robert M. Reuss Is a specialist in corporate finance and maintains a worldwide contact base with both major investment banks and financial intermediaries. Among the highlights are his experience are:
- At International Dairy Queen, was involved in negotiating the terms of the IPO, which was managed by Merrill, Lynch. Prior to this, was involved in negotiating and implementing the corporate credit facility with Norwest Bank.
- At Standard Fabrics, was the financial officer with reporting and compliance responsibilities to the SEC. Negotiated and managed all corporate banking relationships, primarily with First Bank System and participated in negotiating and executing a public secondary offering of subordinated convertible debt.
- At H.A. Rogers, structured the LBO acquisition financing for myself and the acquisition of a competing firm with operations in Fargo and Sioux City which included simultaneous closing of an IPO for the combined companies.
- At Lingate, was involved in the negotiating the financing and financial structure of many transactions (8-10 annually). Significant ones were the acquisition of the mushroom operations of Campbell Soup Co. by Lyon Food Products and of a privately held cable drum manufacturer by Jefferson Smurfitt.
- At Northstar Industries, was involved in several transactions including the purchase of a Houston based plastic bag converter by ConAgra for a price in excess of $100 million and the acquisition of a regional grocery retailer by a publicly traded food distributor for a price in excess of $20 million. While at Northstar, advised the board of directors of ROI systems, a manufacturing management software developer, on structuring and financing the re-acquisition of the company from ADP.
- At Maven Securities, were involved as members of the distribution group for a number of private placement and IPO transactions. Represented Video Update in financing several of their early acquisitions of small video store chains. Also worked with the owners of several large private companies to sell equity and convertible debt interests. These transactions were designed to give some liquidity to current shareholders without exposing the extreme profitability of the company to public scrutiny.
- Was a founding director and the first CFO of LearningByte International a Minneapolis based developer of interactive multimedia training software for major corporations such as Northwest Airlines, Continental Airlines, Dell Computer and National Car Rental. Resigned from the board in 1994 but maintained close contact and an equity position. The company raised over $15 million in angel and VC capital. It was acquired by Digital Think (NASDAQ) in 2001.
- .In Raleigh, have good relationships at Wachovia Bank, RBC Centura, CCB, First Citizens and Silicon Valley Bank.
- Have constantly been involved in ongoing professional development training in areas related to corporate finance including tax law, valuation techniques and negotiation skills.
